By accessing or using Invoice For Me (“the Service”), operated by Gladys Latin Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

Invoice For Me is an AI-powered invoicing platform that enables users to create, manage, and send professional invoices. The Service includes:

• AI-assisted invoice creation from natural language descriptions
• Professional PDF invoice generation
• Email delivery of invoices to clients
• Client and invoice management tools
• Payment tracking features

3. Account Registration

To use certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

By using the Service, you grant us a limited license to use, store, and process Your Content solely to provide and improve the Service.

You represent and warrant that you have all necessary rights to Your Content and that Your Content does not violate any third party's rights.

6. AI-Generated Content

The Service uses artificial intelligence to assist in creating invoice content, including descriptions and cover letters. You acknowledge that:

• AI-generated content is provided as a starting point and should be reviewed before sending
• You are responsible for reviewing and approving all invoice content before it is sent
• We do not guarantee the accuracy, appropriateness, or completeness of AI-generated content
• You remain solely responsible for all invoices sent through the Service

7. Subscription and Billing

Some features of the Service require a paid subscription. By subscribing to a paid plan:

• You agree to pay all fees associated with your chosen subscription plan
• Fees are billed in advance on a monthly or annual basis
• Subscription fees are non-refundable except as required by law
• We may change subscription fees upon 30 days' notice
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Gladys Latin Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Invoice For Me name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Gladys Latin Inc. You may not use such marks without our prior written permission.

9. Third-Party Services

The Service may integrate with or contain links to third-party websites, services, or applications. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GLADYS LATIN INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS.

12. Indemnification

You agree to defend, indemnify, and hold harmless Gladys Latin Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may export your data before termination. We may retain certain information as required by law or for legitimate business purposes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

15. Dispute Resolution

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may initiate binding arbitration in accordance with the rules of the American Arbitration Association.
